SPICe+ Form Filing — Complete Guide for Company Incorporation in India 2025

The SPICe+ (Simplified Proforma for Incorporating Company Electronically Plus) form is the single integrated form used to incorporate companies in India. Introduced by the Ministry of Corporate Affairs (MCA) in 2020, SPICe+ replaced multiple older forms and made the entire incorporation process significantly faster and simpler. This guide explains everything you need to know about filing SPICe+ in 2025.

What is SPICe+?

SPICe+ is a web-based integrated form available on the MCA V3 portal that allows simultaneous application for company incorporation, name reservation, Director Identification Number (DIN) allotment, PAN, TAN, GST registration, EPFO and ESIC registration, and opening of a bank account — all in one go. It dramatically reduces the time and cost of starting a company in India.

Structure of SPICe+

SPICe+ has two parts:

Part A — Name Reservation: This is used to reserve the proposed company name. You can suggest up to 2 names. Once approved, the reserved name is valid for 20 days within which Part B must be filed.

Part B — Incorporation Details: This section covers company details, registered office, directors and subscribers. It is filed along with the linked forms: e-MOA (INC-33), e-AOA (INC-34), AGILE-PRO-S, INC-9 and DIR-2.

Linked Forms Filed with SPICe+

  • e-MOA (INC-33): Memorandum of Association — defines company objectives and subscriber details
  • e-AOA (INC-34): Articles of Association — internal governance rules
  • AGILE-PRO-S: Application for GSTIN, EPFO, ESIC and bank account opening
  • INC-9: Declaration by first subscribers and directors (auto-generated when subscribers ≤ 20 and paid-up capital ≤ ₹10 lakh)
  • DIR-2: Consent to act as director

Documents Required for SPICe+ Filing

  • PAN and Aadhaar of all subscribers and directors
  • Passport-size photos of all directors
  • Identity and address proof for all directors (Aadhaar, Passport or Voter ID)
  • Proof of registered office — electricity bill or rent agreement, plus NOC from the owner
  • DSC (Class 3) of all directors
  • DIN of all directors (or applied through SPICe+ for up to 3 directors)
  • Subscriber sheet — stamped and signed

Step-by-Step SPICe+ Filing Process

Step 1: Log in to the MCA V3 portal (mca.gov.in) and navigate to SPICe+ under "MCA Services."

Step 2: Complete Part A — enter the proposed company name, type of company (Private/Public/OPC), state, class and category.

Step 3: Once the name is approved, proceed to Part B — fill in all details about the company, directors, subscribers and registered office.

Step 4: Attach all required documents. Fill in and attach all linked forms (e-MOA, e-AOA, AGILE-PRO-S, INC-9).

Step 5: Digitally sign the form using DSC of the authorised signatory (CA/CS certifying the form).

Step 6: Pay the applicable government fees online.

Step 7: The ROC processes the application. If approved, the Certificate of Incorporation is issued along with CIN, PAN, TAN and GSTIN.

Common Errors to Avoid

  • Name not complying with MCA naming guidelines (too generic, identical to existing company)
  • Mismatch between PAN name and name entered in SPICe+
  • Registered office address not matching the attached utility bill
  • Missing or expired DSC of directors
  • NOC from office owner not attached
  • MOA objects not aligned with the proposed business activity
Time-saving tip: SPICe+ with AGILE-PRO-S allows GST registration to be obtained simultaneously with incorporation. This saves an additional 3 to 5 days compared to applying separately. SPOTON handles the complete SPICe+ filing for you — call +91 99614 11863.
